“Protagonists in Company and Capital Market Law” – Edited volume published
Since 2011 leading experts in company and capital market law from Germany, Austria and Switzerland have been meeting once a year to comparatively discuss basic and current issues in these two related fields. The tenth symposium, which took place in June 2020 in Zurich, was dedicated to the question of how relevant actors and key institutions interact. With his conception of the central figures in company law, Institute Director Holger Fleischer, co-editor of the presently released conference volume, sets out an operative analytic framework.
In his article on the key players of company law and their discursive interaction, Holger Fleischer draws on the term Rechtshonororatioren (central legal figures) as coined by Max Weber. As key company law personalities he identifies a circle of individuals who come from different occupational groups and who are integrated in a professional culture characterised by intensive exchange. In illustrating his thesis, he traces the process of discourse in terms of both doctrinal (de lege lata) and policy-related (de lege ferenda) issues and closely examines the most important communication channels.
Eight additional articles in the volume consider the influence of case law, scholarship, bureaucratic ministries, commercial registry courts, takeover commissions, corporate counsel and auditors in German-speaking regions.
