New edition of Volume 1 of the Münchener Kommentar zum GmbH-Gesetz published

Holger Fleischer, Director at the Max Planck Institute for Comparative and International Private Law, is co-editor of the Münchener Kommentar (Commentary) on the law of the GmbH – the German limited liability company. With the recent release of Volume 1, the reference work has embarked on the publication its fourth edition. The volume devotes special attention to the effects of the Covid-19 pandemic as well as to the reorganization and restructuring of financially distressed companies.

Edited by Holger Fleischer together with Wulf Goette, retired presiding judge of the Federal Court of Justice, the large-scale commentary aims to present and analyse Germany's most popular corporate form – there being almost 1.4 million GmbHs – in all its complexity. Volume 1 explains over the course of 2,888 pages international corporate law in relation to the GmbH and §§ 1-34 GmbHG. This is preceded by a comprehensive 133-page introduction authored by Holger Fleischer which traces from a legal perspective the historical, practical, economic, and comparative breadth of the GmbH - the legal form which, along with culpa in contrahendo, is considered German civil law’s most successful export.
