The „Großkommentar zum Aktiengesetz“, providing comprehensive commentary and analysis on the German Stock Corporation Act, is edited by Professor Klaus J. Hopt together with Professor Herbert Wiedemann, Köln (4th ed., fully revised, de Gruyter, Berlin/New York, released since 1992 in installments.)Hopt comments on the law governing director liability (published in 1999) and, together with Dr. Markus Roth, on the provisions concerning the supervisory board (§§ 95-116 Hopt/Roth, §§ 97-99, 102 Hopt/Roth/Peddinghaus, 2005).
Additionally, Hopt and Roth provide guidance on the new Sec. 93 para. 1 sent. 2 of the German Stock Corporation Act, a recent codification of the business judgment rule.
